Software License & Acceptable Use Policy

This policy governs your license to install and use the NINJABOT-AI software (the "Software") and supplements our Terms of Service, which remain in full effect.

1. License Grant

Subject to an active, paid subscription or license term, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and run the Software on your own NinjaTrader installation, for your own personal or business trading use. This license does not sell you the Software — it remains the Company's property at all times.

2. Seat and Account Limits

Each paid plan includes a defined number of active installations:

  • Starter, Quarterly, Annual: one active NinjaTrader installation and one connected trading account per license, unless otherwise stated on your plan.
  • Lifetime / Enterprise: seat count confirmed individually in your quote.

Running the Software on additional accounts beyond your plan's limit requires an additional license or an upgraded plan.

3. Prohibited Uses

You may not:

  • Resell, sublicense, rent, lease, or otherwise transfer the Software or your license to any third party;
  • Share your license key, activation code, or account credentials with anyone else;
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software, except where applicable law expressly permits it;
  • Copy, modify, or create derivative works based on the Software;
  • Use the Software to build or train a competing product or service;
  • Circumvent any license, activation, or usage-limit mechanism built into the Software;
  • Use the Software in a way that violates the rules of your broker, futures commission merchant, exchange, or any evaluation/funded-account program.

4. Updates

The Company may release updates, patches, or new strategy modules from time to time. Updates are included for as long as your subscription or license remains active, as described on our Pricing & Plans page. The Company is not obligated to maintain compatibility with discontinued versions of NinjaTrader.

5. Ownership

The Software, including all strategy modules, documentation, and updates, is owned by the Company or its licensors and is protected by applicable intellectual property laws. Nothing in this policy transfers ownership of the Software to you.

6. Enforcement and Termination

Violating this policy — including unauthorized sharing, resale, or reverse engineering — may result in immediate suspension or termination of your license without refund, in addition to any other remedies available to the Company under the Terms of Service.

7. No Warranty on Trading Outcomes

This license governs your right to use the Software. It does not warrant, and should not be read to imply, any particular trading outcome. See the full Risk & Earnings Disclaimer for the risk and performance disclosures that apply to all use of the Software.
